Software Licence Agreement

Effective from 24 October 2026

This agreement sets out how the Licensee may use bar under a paid licence. It is intended for organisations (B2B). It is concluded by signature or electronically by paying an invoice that refers to this agreement. The details of each licence are in Annex 1.

1. Parties and definitions

Licensor: Edgars Zakalovskis, Rīga, Latvia, just@clearthe.bar.

Licensee: the organisation named in Annex 1.

Software — bar, the online judging and results software at clearthe.bar, including its updates.

Account — the Licensee’s bar account(s) to which the Licence is added.

Free Limit — use of the Software without a Licence: full features for categories of up to 8 riders.

Contest — one sporting event with a given name and dates, including all its categories and rounds.

Licence Term — the period during which the Licence is valid, as shown in Annex 1 and in the Account.

Contest Data — contest, rider, judge, score and results data entered into the Software by or for the Licensee.

2. Grant of licence and licence types

2.1. The Licensor grants the Licensee a non-exclusive, non-transferable right to use the Software during the Licence Term to judge its own contests and to prepare and publish their results.

LicenceIncludesValidity
Single contestAll categories and rounds of the Contest named in Annex 1, any number of ridersThat Contest
1 year · one disciplineUnlimited Contests of the Licensee in the discipline named in Annex 112 months from the start date
1 year · all disciplinesUnlimited Contests of the Licensee in every discipline available in the Software, including disciplines switched on during the Licence Term12 months from the start date

2.2. The Licensee may let its staff, helpers and judges use the Software for the Licensee’s contests. Helpers sign in with their own accounts; judges use their personal links.

3. Restrictions

The Licensee must not, directly or through third parties:

The Licensee may freely use and publish the results, judge sheets, CSV and Excel files produced by the Software.

4. Activation and end of the licence

4.1. After payment the Licensor adds the Licence to the Licensee’s Account within 3 business days.

4.2. When a Licence ends, Contest Data stays in the Account. Categories over the Free Limit keep their scores but their places, results and live page close again, unless another Licence applies.

5. Fees and payment

5.1. The Licensee pays the fee stated in Annex 1 within 14 days of receiving the invoice. Prices are in euro; any VAT is shown on the invoice.

5.2. For renewal of a 1-year licence the Licensor may issue an invoice before the end of the Licence Term. Without payment the Licence is not renewed.

5.3. Fees paid are non-refundable, except where the Software materially fails to work and the Licensor does not fix the defect within 10 business days of notice. In that case the Licensor refunds the fee for a single-contest licence, or the unused part of a 1-year licence.

6. Intellectual property and brand

6.1. All rights to the Software, its design, documentation and name remain with the Licensor. The name bar and its logo are the Licensor’s brand. The Licensee may mention them to state that results were produced with the Software.

6.2. The Licensor may use the Licensee’s suggestions to improve the Software without compensation.

6.3. The Software is not an official product of the UCI or any other sports body. References to UCI rules describe features only.

7. Contest Data and data protection

7.1. Roles. For rider and judge personal data in Contest Data the Licensee (or the organiser it acts for) is the controller under the General Data Protection Regulation (GDPR). It decides what to enter, who may see it and how long to keep it. The Licensor processes that data only on the Licensee’s behalf, to provide the Software, and is a processor. This section is the data processing agreement between them (Art. 28 GDPR). It applies equally to organisers using the Free Limit.

7.2. The Licensee is responsible for the lawful basis for entering and publishing the data; for informing riders, judges and, for minors, parents or guardians in its entry form or event rules that bar is used to score the contest and publish results; for entering only what the contest needs (a short name, nickname or start number is enough); and for the visibility it chooses (private, link only, public).

7.3. The Licensor processes Contest Data only to store it, show it to the people the Licensee gives access to, and provide support; follows the Licensee’s instructions given through the Software or in writing; keeps the data confidential; protects it with appropriate measures (encrypted connections (HTTPS), hashed passwords, access only for signed-in authorised users, optional two-step sign-in, logged administrator access); helps the Licensee answer data subjects’ requests and meet its GDPR duties; tells the Licensee without undue delay of a personal data breach affecting its data; and makes available the information needed to show compliance.

7.4. Access by the Licensor. The Licensor opens a Licensee’s contest only for support, security or to check the Free Limit and licences. Such access is logged.

7.5. Sub-processors. The Licensee authorises the sub-processors listed in the Privacy Policy, currently Render Services, Inc. (hosting, servers in Frankfurt, Germany). The Licensor imposes data protection obligations on them and gives notice of changes on that page; the Licensee may object for good reason.

7.6. Deletion. The Licensee can delete its contests in the Software at any time. When an Account is deleted, the Licensor deletes its Contest Data, or, if the Licensee asks, keeps results without the organiser’s name.

8. Disclaimer and approval of results

8.1. The Software is provided “as is”. The Licensor does not warrant uninterrupted or error-free operation on every device, browser and network.

8.2. The Software is an aid. Official results are checked and approved by the head judge under the rules of the contest (for example UCI 6bis.6.019). Before each Contest the Licensee checks that the format settings (rounds, heat sizes, run time, number of judges) match the rules of that event, and that the venue has an internet connection.

8.3. The Licensor warrants that it has the right to grant this Licence.

9. Limitation of liability

9.1. The Licensor’s total liability under this agreement shall not exceed the fees paid by the Licensee in the last 12 months.

9.2. The Licensor is not liable for indirect losses, lost profits, reputational harm, or the cancellation or postponement of contests, nor for disputes over results, protests or awards where results were approved by the head judge.

9.3. These limits do not apply to wilful misconduct, gross negligence or where liability cannot be limited by law.

10. Support and updates

10.1. During the Licence Term support is provided by e-mail at just@clearthe.bar on business days, with a reply within 2 business days.

10.2. All licences include the updates released during the Licence Term.

10.3. Contest-day support (phone or on site) is not included and can be agreed separately.

11. Term and termination

11.1. This agreement enters into force on signature or payment of the invoice and remains in force until the Licence Term ends.

11.2. The Licensor may terminate without refund if the Licensee materially breaches section 3 and does not remedy it within 10 days of written notice.

11.3. Sections 6, 7, 9 and 12 survive termination.

12. Governing law and final provisions

12.1. This agreement is governed by the laws of the Republic of Latvia. Disputes are resolved by negotiation and, failing agreement within 30 days, by the courts of the Republic of Latvia.

12.2. This agreement with its annexes is the entire agreement and supersedes prior arrangements. Amendments are valid only in writing, signed by both parties or confirmed by e-mail. If any provision is invalid, the rest remain in force. The Licensee may not assign its rights without the Licensor’s written consent.

Annex 1: Licence specification

Annex 1 is completed for each Licensee. It names the organisation, the Account e-mail, the licence type, the contest or discipline, the start and end dates, the licence ID and the fee, and is sent with the offer and invoice.
